Template — pending legal review
This document is a working draft prepared for transparency. It has not yet been reviewed or approved by qualified legal counsel and does not constitute legal advice. The final executed version issued with a contract prevails over anything on this page.
This is the agreement between LAHJA AI and the people who record, transcribe, annotate and evaluate language data for us. It explains your status as an independent contractor, how tasks and payment work, what quality standards apply, what happens to the work you produce, and what conduct will end the relationship.
1.Parties and scope
This Contributor Agreement (the "Agreement") is between LAHJA AI SARL, Algiers, Algeria ("LAHJA AI", "we") and you, the individual performing language tasks through our platform ("you", "Contributor").
It applies from the moment you accept it during the application process and continues until it is terminated by either side. It sits alongside our Terms of Service and Privacy Policy; where this Agreement deals with a subject specifically, it takes precedence over the Terms.
Some projects require an additional project-specific non-disclosure agreement. Where that is the case, you must accept it before any task on that project is assigned to you.
2.Independent contractor status
You perform tasks as an independent contractor. This Agreement does not create an employment relationship, a partnership, a joint venture or an agency between you and LAHJA AI.
You are not entitled to employee benefits, paid leave, notice periods or social-security contributions from us, and you are responsible for your own taxes and any statutory declarations required of you under Algerian law.
You control how and when you work within the technical specification of each task. You decide which tasks to accept, you are free to work for others, and we do not require exclusivity. You may not, however, present yourself as an employee, officer or spokesperson of LAHJA AI, or enter into commitments on our behalf.
3.Application, verification and qualification
Before work is assigned, you complete an application covering your identity, languages, dialect profile, skills, equipment, availability and consents, and you complete qualification tests relevant to the projects you want to join.
The information you give must be true. We verify identity and dialect, and for expert projects we verify professional credentials with the issuing body or an acceptable equivalent. Misrepresentation of identity, dialect, region or qualification is a material breach of this Agreement.
Acceptance into the network does not guarantee that work will be available to you. Volume depends on the projects we are running and on the quotas those projects set.
4.Task acceptance and performance
Tasks are offered through the platform with their instructions, technical specification and rate shown before acceptance. Nothing is assigned to you without your acceptance.
Once you accept a task, you agree to complete it personally, within the stated window, following the project instructions exactly. Another person may not complete a task on your behalf, and you may hold only one contributor account.
If you cannot complete an accepted task, release it rather than submitting substandard work. Repeatedly abandoning accepted tasks reduces your reliability score and may limit access to future projects.
5.Quality standards, review and rejection
Every submission is subject to automatic signal checks and human review against the project rubric. A submission may be approved, rejected, or returned to you as a resubmission request with the specific reason.
Rejected work is not payable. You will always be told why, using a structured reason such as excessive background noise, clipping, wrong dialect, off-script content, incomplete duration or annotation error. Where a resubmission is requested, a corrected submission that passes review is payable in the normal way.
Review outcomes update your contributor scores: audio quality, annotation quality, reliability, completion rate, approval rate and an overall score. These scores are visible to you and determine eligibility for sensitive, specialist and higher-paid projects.
If you believe a rejection is wrong, you may ask for it to be re-examined. We will look at the submission again and give you a reasoned answer.
6.Assignment of intellectual property
You assign to LAHJA AI, on approval and payment of the relevant task, all right, title and interest — including all intellectual property rights — in the work you produce: audio recordings, transcripts, translations, annotations, ratings, written justifications, test reports and any derived material (together, "Contributed Work").
The assignment is worldwide, perpetual, irrevocable and includes the right for LAHJA AI to license and sublicense the Contributed Work to clients for training, testing, evaluating and improving artificial intelligence systems, and to retain it as evidence of the work performed.
Where moral rights or equivalent rights cannot be assigned under applicable law, you agree not to assert them in a way that would prevent the normal commercial use of the Contributed Work by LAHJA AI or its clients.
You confirm that Contributed Work is your own original work, that it does not infringe any third party's rights, and that where another identifiable person's voice or personal information appears in it you have obtained that person's consent.
7.Voice-recording consent
You give explicit, separate and versioned consent before performing any audio task. That consent covers the recording of your voice, the storage of those recordings by LAHJA AI, and their inclusion in datasets delivered to clients for AI development purposes.
Recordings are delivered with a pseudonymous contributor identifier. Your name, contact details and address are not included in a deliverable unless a specific contract requires identified contributors and you have separately consented to that for that project.
You may withdraw voice-recording consent at any time. Withdrawal stops further recording and stops inclusion of your voice in new deliveries. It cannot recall recordings already delivered to a client under licence, and we will tell you plainly which recordings that applies to.
8.Confidentiality
Everything you see in order to perform a task is confidential: prompts, scripts, rubrics, source audio, model outputs, documentation, project methodology and the identity of the client.
You may use confidential information only to perform the assigned task. You must not disclose it, publish it, discuss it on social media, share screenshots of it, or keep copies outside the platform. You must delete any local copy once the task is submitted.
Confidentiality obligations survive termination of this Agreement and continue for as long as the information remains confidential.
9.Payment terms
Payment is per approved task at the rate shown when you accepted it, in Algerian dinars. Each task appears in your earnings ledger and moves through three states: pending while it awaits review, approved once it passes review, and paid once payment has been issued.
Payments are made manually by bank transfer, mobile wallet or cash, in scheduled payment runs. You are responsible for keeping your payment details accurate; we are not liable for a payment sent correctly to details you supplied.
Rates vary by project, task type, length and the expertise required. Nothing in this Agreement guarantees a minimum volume of work, a minimum level of earnings, or continuity of any particular project.
Amounts associated with work obtained through misrepresentation, impersonation or fabricated submissions are not payable, and we may set off such amounts against any balance owed to you.
10.Prohibited conduct
The following are material breaches of this Agreement and will result in rejection of the affected work and, in most cases, immediate termination.
- Submitting output generated by a language model, a text-to-speech engine or any other automated system where the task requires original human work.
- Submitting a recording of someone else's voice as your own, or having another person complete tasks on your account.
- Misrepresenting your dialect, region, age, identity or professional credentials.
- Operating more than one contributor account, or transferring your account to another person.
- Recycling, duplicating or lightly editing previous submissions to inflate volume.
- Disclosing confidential project material, or capturing it outside the platform.
- Attempting to identify, contact or solicit clients or other contributors through the platform.
- Probing, overloading or circumventing platform security or rate limits.
11.Equipment, environment and conduct
You supply your own device, headset where required, internet connection and a suitable recording environment. Project specifications state the minimum requirements before you accept a task.
You agree to treat reviewers, coordinators and other contributors with respect. Harassment, abuse or discriminatory conduct is grounds for immediate termination.
12.Data protection
How we handle your personal data — what we collect, why, how long we keep it, who we share it with and how to exercise your rights including account deletion — is described in the Privacy Policy, which forms part of this Agreement.
You may request deletion of your account at any time. We will delete or anonymise your data except where retention is required by law or necessary to evidence payment, consent or work already delivered under a client licence, and we will tell you in writing what was retained and why.
13.Termination
You may terminate this Agreement at any time by closing your account. Tasks you have accepted but not submitted are released.
We may terminate immediately for a material breach, including any prohibited conduct listed above, fraud, a security risk, or a legal requirement. For less serious issues — a run of poor-quality submissions, for example — we will normally raise it with you and give you an opportunity to correct it before taking action.
On termination, approved work remains payable in the next payment run. Confidentiality obligations and the assignment of intellectual property in work already performed survive termination.
14.Liability, changes and governing law
To the fullest extent permitted by law, neither party is liable to the other for indirect or consequential loss. Our total liability to you is limited to the amounts payable to you for approved work in the twelve months before the event giving rise to the claim. Nothing excludes liability that cannot lawfully be excluded.
We may update this Agreement. The revised version is published with a new "Last updated" date and notified in the platform, and material changes require your acceptance before you take further tasks.
This Agreement is governed by the laws of the People's Democratic Republic of Algeria, and the competent courts of Algiers have exclusive jurisdiction over any dispute that cannot be resolved informally.
