Template — pending legal review
This document is a working draft prepared for transparency. It has not yet been reviewed or approved by qualified legal counsel and does not constitute legal advice. The final executed version issued with a contract prevails over anything on this page.
These Terms set out the rules for using the LAHJA AI platform — as a visitor, as a client commissioning human data work, or as a contributor performing paid language tasks. We have written them in plain English so that they can actually be read.
1.About these terms
These Terms of Service (the "Terms") govern your access to and use of the LAHJA AI website, platform and related services (together, the "Platform"). The Platform is operated by LAHJA AI SARL, a company established in Algeria ("LAHJA AI", "we", "us").
By creating an account, submitting an application, placing an order or otherwise using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
Where you also sign a separate written agreement with us — a client services agreement, a statement of work, a data processing agreement or a contributor agreement — that signed agreement takes precedence over these Terms to the extent of any conflict.
2.Who may use the Platform
You must be at least 18 years old to create an account. If you use the Platform on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.
We operate three broad categories of access, and different obligations apply to each.
- Visitors, who browse public pages without an account.
- Clients, who commission data collection, annotation or evaluation work.
- Contributors, who apply to perform paid language tasks and who are additionally bound by the Contributor Agreement.
3.Accounts and security
You are responsible for the accuracy of the information you give us and for keeping it up to date. Identity, language and credential details submitted during an application must be true; deliberately false information is grounds for immediate termination and forfeiture of unpaid amounts associated with work obtained through that misrepresentation.
You are responsible for maintaining the confidentiality of your login credentials and for all activity carried out under your account. You must notify us promptly at contact@lahja.ai if you believe your account has been accessed without your authorisation.
Accounts are personal. You may not share, sell, rent or transfer an account, and you may not allow another person to complete tasks on your behalf.
4.Acceptable use
You agree to use the Platform lawfully and in good faith. The following are prohibited without limitation.
- Submitting content generated by an automated system, a text-to-speech engine or a language model where the task calls for original human work.
- Impersonating another person, misrepresenting your dialect, region or professional credentials, or operating more than one contributor account.
- Uploading malicious code, or attempting to probe, scan, overload or circumvent the security or rate limits of the Platform.
- Attempting to access data belonging to another client, another contributor or another project.
- Scraping, republishing or redistributing Platform content, task material or client-supplied material outside the Platform.
- Recording, photographing or otherwise capturing confidential project material for any purpose other than completing the assigned task.
- Submitting content that is unlawful, defamatory, hateful, sexually explicit involving minors, or that infringes the rights of a third party.
5.Ownership of contributed data
Content that you create in the course of performing a paid task — including audio recordings, transcripts, translations, annotations, ratings, written justifications and test reports ("Contributed Data") — is assigned to LAHJA AI on approval and payment of that task, together with all intellectual property rights in it, on a worldwide, perpetual and irrevocable basis.
This assignment allows us to deliver, license and sublicense Contributed Data to clients for the purpose of training, testing, evaluating and improving artificial intelligence systems, and to retain it as evidence of quality and of work performed.
To the extent that moral rights or similar rights cannot be assigned under applicable law, you agree not to assert them against LAHJA AI or its clients in a way that would prevent the normal use of the Contributed Data.
You confirm that Contributed Data is your own original work, that it does not infringe anyone else's rights, and that you have obtained the consent of any other identifiable person whose voice or personal information appears in it.
6.Client material and confidentiality
Material we make available to you in order to perform a task — prompts, scripts, rubrics, model outputs, recordings, documentation and the identity of the client — is confidential. You may use it only to perform the task and must not disclose it to anyone.
Confidentiality obligations continue after your account is closed. Some projects additionally require a separate non-disclosure agreement, which must be accepted before any task on that project is assigned.
7.Platform intellectual property
The Platform itself, including its software, interface, documentation, methodology, rubrics, scoring model and branding, belongs to LAHJA AI. Nothing in these Terms transfers any right in it to you.
You may not copy, modify, reverse engineer, or create derivative works from the Platform, or use our name or marks without our prior written permission.
8.Fees, orders and payment
Client engagements are priced in a written proposal or statement of work. Volumes, quotas, acceptance criteria, delivery format and timelines are set out there, and work begins once the proposal is accepted.
Contributor payments are calculated per approved task and are governed by the Contributor Agreement. Task rates are shown before a task is accepted. Rejected work is not payable, and the reason for any rejection is recorded and made visible to the contributor.
Taxes and any statutory contributions are your own responsibility unless the applicable written agreement says otherwise.
9.Availability and changes
We work to keep the Platform available, but we do not guarantee uninterrupted service. We may suspend access for maintenance, security or operational reasons, and we will give notice where it is reasonably practicable to do so.
We may change, add or remove features. We may also update these Terms; when we do, we will publish the revised version with a new "Last updated" date and, for material changes, notify account holders. Continued use after the change takes effect means you accept the revised Terms.
10.Suspension and termination
You may close your account at any time by contacting us. Closure does not remove our right or obligation to retain records of completed work, payments and consents where we are required to keep them.
We may suspend or terminate access immediately where we reasonably believe there has been a breach of these Terms, fraudulent or fabricated submissions, a security risk, or a legal requirement to do so. Where the breach is minor and capable of correction, we will normally raise it with you first.
On termination, amounts already approved for completed work remain payable. Amounts associated with work obtained by fraud, impersonation or fabricated submissions are not payable.
11.Disclaimers and liability
Except as expressly stated in a signed agreement, the Platform is provided "as is". We do not warrant that it will be error-free, that a particular volume of work will be available to any contributor, or that any dataset will produce a particular outcome in a client's model.
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill or anticipated savings.
Our total aggregate liability arising out of or in connection with the Platform is limited to the amounts paid or payable under the relevant engagement in the twelve months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by negligence.
12.Governing law and disputes
These Terms are governed by the laws of the People's Democratic Republic of Algeria, without regard to conflict-of-law rules.
The parties will attempt in good faith to resolve any dispute informally. If that fails, the competent courts of Algiers, Algeria have exclusive jurisdiction, unless a signed agreement between the parties provides for a different forum or for arbitration.
If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
